Cancel Your Arizona TPT License and Withholding After a Sale

Reviewed October 27, 2026 by the Mesa Business Brokers Group team

After an asset sale, your Arizona accounts don't close on their own. Mesa Business Brokers Group walks through the TPT, withholding and Mesa steps most sellers need.

Before closing: Agree with the buyer on the exact sale date and use it on every final return, so no period is left open or double reported.

Why Accounts Stay Open

The Department of Revenue doesn't know you sold unless you tell it. A TPT license and a withholding account stay active, and returns keep coming due, until you cancel them.

Missed returns on an account you forgot can turn into penalties and interest months later.

This page covers asset sales, where your company stops operating and the buyer starts fresh. In a stock sale, the company's accounts usually stay open under its new owners.

Your TPT License Doesn't Transfer

An Arizona TPT license is issued to a specific person or entity. It can't be handed to the buyer. The buyer has to apply for its own license before making sales, and you cancel yours.

That includes city privilege tax. Mesa, Gilbert, Chandler and most other cities are handled through the same state license and return, so one cancellation covers them.

Closing Your TPT License

File a final return

Your last TPT return should be marked as final. On the paper form there is a box for the final return and license cancellation. Report everything through the sale date and pay what is owed.

Cancel the license

You can cancel online in AZTaxes.gov by opening the business account, choosing Account Update and using the close account tab. On paper, file a Business Account Update form with the cancel effective date filled in.

The Department also asks for the physical license back, with the word Cancel written across the front. You can also cancel in person at a Department office.

Think before you cancel

If you cancel your license and later need it again, you reapply and pay the fees again. Reinstatement is free only when the Department cancelled a license by mistake. So cancel once the sale has truly closed, not before.

Closing Your Withholding Account

If you had employees, you also have an Arizona income tax withholding account. The Department cancels it once you file a final return. Until you do, it expects returns to keep arriving.

  • Quarterly filers file final versions of Form A1-QRT and Form A1-R.
  • Annual filers file a final Form A1-APR instead.
  • On A1-QRT, check the final return box and enter the date final wages were paid.
  • Pick the reason for closing in the form's cancellation section; business sold is one of the choices.
  • Send final W-2 forms for the year, as you would at year end.

Pay all Arizona income tax you withheld from employees through the last payroll. Unpaid withholding is one of the issues buyers and the Department look at closely.

Mesa's Business Clearance Request

The City of Mesa's Collections office has a Business Clearance Request form for owners selling a business. It asks for the sale date, your TPT account number and the new owner's details, and it is mailed to Mesa Collections.

Ask Mesa Collections whether you need it for your sale and how long it takes. Owners in other cities should check whether their city has a similar step. A buyer may want the city's confirmation along with the state's.

The Order Most Sellers Follow

  1. Before closing, get the state's TPT clearance so the buyer releases any holdback.
  2. Run your final payroll and pay all withheld tax.
  3. File the final TPT return through the sale date and cancel the license.
  4. File final withholding returns and send W-2s.
  5. Send the Mesa Business Clearance Request, if it applies.
  6. Have your CPA file final federal and Arizona income tax returns for the company.

Other Accounts to Close

State tax accounts are only part of the list. Your unemployment insurance account with the Department of Economic Security has its own rules; see Arizona unemployment account transfer when a buyer takes over.

The county still taxes equipment you owned at the start of the year, covered in Maricopa County personal property return in the year you sell.

Then you may close the company itself; see Arizona Corporation Commission dissolution after an asset sale.

Sources and a Caution

This page is based on the Arizona Department of Revenue's guidance on license cancellation and withholding cancellation, the A1-QRT form, and the City of Mesa's Business Clearance Request.

It is general information, not tax or legal advice. Forms and addresses change, so confirm the details for your company with your CPA or attorney.

If the sale is still ahead of you, start with Arizona TPT successor liability when you sell a business. For a price range, send the form or call (480) 555-0124.
